Boyd Group Income Fund Announces Closing of Over-Allotment Option

Winnipeg, Manitoba — December 24, 2012 — Boyd Group Income Fund (TSX: BYD.UN) (“the Fund,” “Boyd” or “the Boyd Group”) announced today that it has issued $4,200,000 aggregate principal amount of five year 5.75% convertible unsecured subordinated debentures due December 31, 2017 (the “Debentures”) pursuant to an over-allotment option (the “Over-Allotment Option”) granted to the underwriters set forth below. This $4,200,000 aggregate principal amount of Debentures is in addition to the $30,000,000 principal amount of Debentures that were issued by the Fund on December 19, 2012. This exercise of the Over-Allotment Option brings the total gross proceeds of the offering to $34,200,000 (the “Offering”).

The Offering was led by National Bank Financial Inc., Cormark Securities Inc., and CIBC World Markets Inc., acting as co-leads and joint bookrunners, and included Laurentian Bank Securities Inc., and Octagon Capital Corporation (collectively, the “Underwriters”).

The net proceeds of the Offering will be principally used to replenish the cash balances of the Fund following its previously announced acquisitions of Autocrafters and The Recovery Room as well as to fund ongoing growth for 2013, with the remainder being used for general working capital purposes.
